1. Agreement to Terms

By accessing or using Nova Academy ("the Service"), operated by IAMP Holdings LLC, you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

If you are a parent or guardian creating an account on behalf of a child, you agree to these Terms on behalf of yourself and your child. You are responsible for your child's use of the Service and compliance with these Terms.

2. Eligibility

You must be at least 18 years of age to create an account on the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Children under 18 may not create accounts. Children may only use the Service through a parental account established and supervised by a parent or legal guardian. See Section 5 for additional details.

3. Description of Service

Nova Academy is an AI-powered educational platform that provides mathematics enrichment instruction for children in grades K–5. The Service includes interactive lessons, AI-generated tutoring and hints, progress tracking, achievement badges, and personalized learning recommendations.

Features and functionality may change over time as we improve the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. User Accounts

To use the Service, you must create an account using Google Sign-In. You agree to:

  • Provide accurate and complete information during registration
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Each person may maintain only one account. You may not share your account credentials with any other person. We reserve the right to suspend or terminate accounts that we reasonably believe violate these Terms.

5. Children and COPPA

The Service is designed for children in grades K–5 (typically ages 5–11), who may only access the Service through a parental account. Children under 13 cannot create accounts, sign in, or interact with the Service independently.

By creating a child profile, you represent that you are the child's parent or legal guardian and consent to the collection and use of your child's information as described in our Privacy Policy, which explains our Children's Online Privacy Protection Act (COPPA) compliance in detail.

6. Subscriptions and Payments

The Service offers subscription plans, including Practice and AI Tutor tiers. Subscriptions are billed on a recurring monthly basis unless otherwise stated.

All payment processing is handled by Stripe. By subscribing, you authorize Stripe to charge your selected payment method on a recurring basis until you cancel. You are responsible for keeping your payment information current.

We reserve the right to change subscription pricing at any time. If we change the price of a subscription, we will notify you in advance and give you the opportunity to cancel before the new price takes effect.

7. Free Trials and Early Access

We may offer free trials, early access programs, or promotional offers from time to time. These offers may be subject to additional terms and may be modified or discontinued at any time without notice.

Features available during a trial or early access period may differ from those in the general release. We make no guarantees that trial or early access features will remain available.

8. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your subscription features until the end of your current billing period.

All payments are non-refundable. We do not provide refunds or credits for partial billing periods, unused features, or any other reason, to the extent permitted by applicable law.

9. Acceptable Use

You agree to use the Service only for lawful, educational purposes. You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Use automated systems, bots, scrapers, or similar tools to access or extract data from the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Circumvent, disable, or interfere with any security features of the Service
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Share your account credentials or allow others to access the Service through your account
  • Interfere with, disrupt, or create an undue burden on the Service or the networks connected to it
  • Copy, modify, distribute, sell, or lease any part of the Service or its content

We reserve the right to suspend or terminate your access if we reasonably believe you have violated these rules.

10. Intellectual Property

All content on the Service — including lessons, activities, text, graphics, logos, icons, images, audio, software, and the overall design and arrangement of the Service — is owned by IAMP Holdings LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial, educational purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Service without our express written permission.

11. User Data and Content

Learning data generated through your or your child's use of the Service (such as responses to activities, progress data, and achievement records) belongs to you. We do not claim ownership of your learning data.

By using the Service, you grant us a limited license to use your learning data to operate and provide the Service, including generating personalized recommendations and progress reports. We may also use anonymized and aggregated data (which cannot identify you or your child) to improve the Service, develop new features, and conduct research.

12. AI-Generated Content

The Service uses artificial intelligence to generate educational content, including tutoring responses, hints, and feedback. This AI-generated content is provided as an educational aid only and is not a substitute for professional instruction, tutoring, or academic assessment.

AI-generated content may contain errors, inaccuracies, or inappropriate responses. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content. Parents and guardians should exercise judgment when evaluating AI-generated content provided to their children.

13. Third-Party Services

The Service integrates with third-party services, including but not limited to Google (authentication), Stripe (payment processing), Anthropic (AI), and others described in our Privacy Policy. These third-party services are governed by their own terms of service and privacy policies.

We are not responsible for the availability, accuracy, or reliability of any third-party service, or for any loss or damage resulting from your use of or reliance on any third-party service.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE QUALITY OF ANY CONTENT, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE.

WE DO NOT GUARANTEE ANY SPECIFIC EDUCATIONAL OUTCOMES, TEST SCORES, GRADES, OR ACADEMIC RESULTS FROM USING THE SERVICE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IAMP HOLDINGS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE TOTAL AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless IAMP Holdings LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third party's rights, including intellectual property rights

17. Termination

We may suspend or terminate your account and access to the Service at any time if we reasonably believe you have violated these Terms or for any other reason at our sole discretion, with or without notice.

You may delete your account at any time by contacting us at [email protected]. Upon termination or deletion, your right to use the Service will immediately cease. Data retention and deletion following termination are handled in accordance with our Privacy Policy.

18. Dispute Resolution

If you have a dispute with us regarding the Service, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days before initiating any formal proceeding.

If the dispute is not resolved informally, you agree that it shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in the State of California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action.

Small claims exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of California.

20. General Provisions

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. We may assign our rights and obligations under these Terms without your consent. You may not assign your rights or obligations without our prior written consent.

Force majeure. We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet or infrastructure failures.

Notices. We may provide notices to you via the email address associated with your account. You may contact us at [email protected]. Notices are considered received when sent to the email address on file.

Changes to Terms. We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
